1. Agreement to Terms

By accessing or using any service, platform, or tool provided by Candid Sail ("Company," "we," "us," or "our"), you ("User," "Customer," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you must discontinue use immediately.

2. Nature of Service — Decision Support Only

Candid Sail provides AI-assisted analytical tools intended exclusively as decision support resources. All outputs, reports, analyses, recommendations, and any other content produced by the platform ("Outputs") are advisory in nature only.

YOU, THE USER, RETAIN FULL AND SOLE RESPONSIBILITY FOR ANY AND ALL DECISIONS MADE IN RELIANCE UPON, OR IN CONNECTION WITH, OUTPUTS GENERATED BY THIS SERVICE.

Candid Sail expressly disclaims any and all liability for actions taken or not taken based on platform Outputs. No Output constitutes legal, financial, medical, regulatory, or other professional advice. Users who require professional advice are strongly encouraged to consult a qualified practitioner in the relevant field.

3. Eligibility

Use of this service is strictly limited to individuals who are 18 years of age or older. Minors are expressly prohibited from accessing or using this service under any circumstances.

By using this service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If we discover or have reason to believe a user is a minor, we reserve the right to immediately terminate that user's access without notice or refund.

4. Prohibited Uses

Use of the Candid Sail platform for any of the following purposes is strictly prohibited:

4.1 Criminal Activity

You may not use this service to plan, facilitate, support, execute, or conceal any activity that constitutes a violation of applicable local, state, federal, or international law.

4.2 Prohibited Content Categories

You may not use this service in connection with, or in furtherance of, any of the following:

Sexually explicit or pornographic material of any kind, to include associated business practices
Gambling operations, platforms, or activities, whether legal or illegal in your jurisdiction
Prediction markets, speculative wagering instruments, or unregistered financial derivatives
Content, communications, or schemes that exploit, harm, or target minors
Harassment, stalking, or threats directed at individuals or groups

Note: This list is illustrative, not exhaustive. The Company reserves the right to determine in its reasonable discretion whether a use case conflicts with the ethical standards of this service.

4.3 General Ethics Clause

Candid Sail is committed to responsible AI deployment. The platform shall not be used in any manner that the Company reasonably determines to be harmful, deceptive, exploitative, or contrary to the public interest, regardless of whether such use is explicitly listed above.

5. System Refusals and Content Filtering

5.1 Right to Refuse Processing

The Candid Sail platform, including any AI agents or analytical components integrated within it, reserves the right to decline processing any request, query, or dataset that the system determines, in its automated or human judgment, may violate these Terms, applicable law, or the Company's ethical standards. This right applies to the system as a whole and to any individual AI component operating within it.

5.2 No Charge for Refused Requests

If a request is refused under this Section, you will not be billed for that specific transaction. A refused request will not count against any usage allocation, and no fee will be assessed for the refused processing attempt.

5.3 Repeated Violations — Suspension of Access

Repeated attempts to submit requests that are refused under this Section may result in temporary suspension or permanent termination of your account. This policy exists to protect platform integrity, safeguard other users, and defend the service against systematic abuse and denial-of-service patterns. The determination of what constitutes "repeated" attempts is at the Company's reasonable discretion.

6. Challenging a Refusal — Human Review Process

You may request a human review of any automated refusal you believe was made in error. Submitting a review request requires your express written consent to the following conditions:

Candid Sail staff may access and review the content of the refused request, including any associated personal data, account history, and contextual information reasonably necessary to evaluate the refusal.
This review is conducted solely for the purpose of evaluating whether the automated refusal was appropriate under these Terms.
Review decisions are made at the Company's discretion and are final.

By submitting a challenge, you explicitly consent to this human review of your personal data for the described purpose. If you do not consent to human review of the relevant data, you may not challenge the refusal through this process.

7. Duty to Report Potentially Illegal Activity

In the course of a human review initiated under Section 6, or through other legitimate monitoring activity, if Candid Sail personnel encounter content, communications, or patterns that provide a reasonable basis to suspect illegal activity has occurred, is occurring, or is being planned, the Company may be obligated — and reserves the right — to report such information to the appropriate law enforcement or regulatory authorities.

Such reporting may occur without prior notice to the user involved. Candid Sail's decision to report is made in good faith and in accordance with the Company's understanding of applicable legal and ethical obligations.

Legal Disclaimer: Candid Sail is not a law enforcement body and does not make determinations of legal guilt or innocence. Reports to authorities are made when the Company, in good faith, believes a report may be warranted. The determination of whether any reported activity constitutes illegal conduct rests solely with the relevant authorities. We believe it is better to err on the side of caution than to withhold potentially material information from those empowered to evaluate it.

8. Intellectual Property

All platform software, branding, documentation, methodologies, and AI model configurations associated with Candid Sail are the proprietary intellectual property of the Company and are protected by applicable copyright, trademark, and trade secret law. You are granted a limited, non-exclusive, non-transferable license to use the service solely for its intended purpose and subject to these Terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANDID SAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM RELIANCE ON PLATFORM OUTPUTS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE THIRTY (30) DAYS PRECEDING THE CLAIM.

10. Modifications to Terms

Candid Sail reserves the right to update these Terms at any time. Material changes will be communicated to registered users via the email address on file or through a prominent notice on the platform. Continued use of the service following the effective date of any revision constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Candid Sail is registered, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction in that locale.
